Terms & Conditions
The agreement between Tetradio and the schools that use the platform, and the rules that apply to everyone working inside a school workspace.
These terms govern the supply of Tetradio to a school, and the conduct of everyone working inside that school's workspace — administrators, teachers, staff and guardians. They apply alongside the order your school signed, which sets the package, the student band and the price. Where the order and these terms disagree, the order wins.
Read section 3 for what the licence covers and section 6 for how billing works; those two answer most questions. If you are a guardian or a teacher rather than the person who signed, sections 2 and 4 are the ones that bind you, and they are the ones to read.
Acceptance, parties and definitions
These terms govern the supply of the Tetradio platform by Ν. ΜΙΧΑΛΑΚΗΣ ΜΟΝΟΠΡΟΣΩΠΗ ΙΚΕ ("we", "us", "the Provider") to the educational institution named in the order ("the School").
The School is the party that signs the order, pays the subscription and holds the account. The School may be a private school, a tutoring centre, a preschool or any other educational institution.
End Users are the people the School gives access to: its administrative staff, its teachers, and the guardians and students of its enrolled children.
End Users are not party to the commercial terms of this agreement. Price, term, renewal, billing and liability are matters between us and the School alone, and an End User has no contractual relationship with us in respect of any of them. Every question about a student record, an invoice or an account belongs to the School in the first instance.
End Users are nonetheless bound directly by section 2 (Accounts and roles) and section 4 (Acceptable use), which they accept by using the Service.
The Service is the Tetradio platform as made available at the School's own address, together with the support described in these terms.
Acceptance
By creating an account, accessing a School workspace, or otherwise using the Service, you accept the parts of these terms that apply to you: all of them if you are accepting on behalf of a School, and sections 2 and 4 if you are an End User.
If you are accepting on behalf of a School, you confirm that you have authority to bind it.
If you do not agree to these terms, you may not use the Service. Continued use after a revision takes effect constitutes acceptance of the revised terms.
Accounts and roles
Accounts are issued by the School and carry a role that determines what a user can see and do. Roles include administrators, teachers, staff and guardians.
Account security
Credentials are personal and must not be shared. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify your School's administrator immediately if you suspect unauthorised access.
The School is responsible for the accounts it creates, for the access levels it grants, and for withdrawing access when a member of staff leaves. The School will notify us without undue delay at support@tetradio.com if it becomes aware of any unauthorised access to its workspace or any other security incident affecting it.
We are not liable for loss arising from the use of a School account by a person the School gave access to, or from credentials the School or its End Users failed to keep confidential.
Accuracy of information
You agree to provide accurate information and to keep it current. The School is responsible for the accuracy of student, guardian and staff records it enters or imports.
Your own records
The School can export its enrolment, attendance and payment data from the Service at any time, and is responsible for keeping whatever records its own retention obligations require.
Institutional licence
Subject to these terms and payment of applicable fees, we grant the School a non-exclusive, non-transferable right to access and use the Service for its own educational administration during the subscription term.
- The licence covers the whole platform. Packages differ by student capacity, not by feature.
- Student capacity and included storage are those stated in the order.
- Support is included with every package at no additional charge, on the terms set out in these terms.
- There is no limit on the number of staff or guardian accounts the School may create within its student capacity.
- The licence may not be resold, sublicensed, transferred or used to provide a service to third parties outside the School.
Acceptable use
The School is responsible for its own use of the Service and for the use made of it by its End Users.
You agree not to misuse the Service. In particular, you will not:
- attempt to access records outside the scope of your role, another School's workspace, or the systems on which the Service runs;
- upload or transmit material that is unlawful, defamatory, abusive, threatening or obscene, that infringes the rights of others, or that contains malicious code;
- probe, scan or test the vulnerability of the Service or circumvent its security;
- use the Service to send unsolicited commercial messages, or for any unlawful purpose;
- use automated means to extract data at a scale that degrades the Service for others;
- copy, decompile or reverse engineer the Service, or use it to build a product that competes with it;
- impersonate another user or misrepresent your affiliation with a School.
We may investigate suspected breaches and cooperate with law enforcement where required.
Content and ownership
The School retains all rights in the data and materials it uploads. We claim no ownership of student records, documents, photographs or messages held in a School workspace.
We retain all rights in the Service itself, including its software, design, documentation and trademarks. Nothing in these terms transfers those rights.
Licence to operate the Service
The School grants us a limited licence to host, copy, transmit and display its content solely as necessary to provide, secure and support the Service.
Usage data and suggestions
We may use aggregated and anonymised usage data to operate, secure and improve the Service, never in a form that identifies a School, a student or any other person, and never to train models. Suggestions and feedback about the Service may be used by us without obligation or payment.
Fees and billing
Fees are set out in the School's order and are payable in advance for each billing period unless agreed otherwise. Amounts are exclusive of applicable taxes.
- Invoices are due within thirty days of issue.
- Overdue amounts may accrue interest at the rate permitted by law.
- Subscriptions renew for successive terms unless the School cancels in writing at least thirty (30) days before the renewal date.
- If an invoice remains unpaid fourteen (14) days after a written reminder, we may suspend access to the Service until it is paid. The subscription, and the fees for it, continue during the suspension.
- Fees paid are non-refundable except where these terms expressly state otherwise.
Availability and support
We aim to keep the Service available at all times, subject to planned maintenance announced in advance and to events outside our reasonable control.
Support is included with every package at no additional charge, for as long as the subscription is active. There is no separate support fee, no support allowance and no metering of support by time or by incident.
Support is provided by email to support@tetradio.com on working days. Any response-time commitment is that stated in the School's order.
Where a service level agreement applies, it is set out in a separate document and forms part of these terms by reference.
Suspension and termination
Either party may terminate for material breach if the breach is not remedied within thirty days of written notice. The School may cancel a monthly subscription at the end of any month, with no penalty and no notice period.
Where we have reasonable grounds to believe these terms are being breached, we may suspend access to the Service or to any part of it. Except where immediate suspension is necessary to protect the Service, other schools or any person, we will notify the School first and give it a reasonable opportunity to stop. Termination for continuing breach does not entitle the School to a refund of amounts already paid for the current term.
Phase one: the retention window
When a subscription ends, for whatever reason and whether it is annual or monthly, access to the workspace closes and the workspace is retained for thirty (30) days. Within that window the School may resume the same subscription on payment of the reactivation fee stated in the order, and picks up where it left off.
This period cannot be extended. We hold personal data about children only for as long as there is a lawful basis to do so, and that basis ends with the subscription. We do not offer a paused, dormant or suspended account, and we cannot hold a workspace open on request.
Phase two: after deletion
At the end of that period the workspace and everything in it is permanently deleted, and this agreement is at an end. Backup copies are overwritten within seven (7) days of deletion.
After that point there is nothing to return to. A School that wishes to use the Service again enters into a new subscription: a new order, a new setup, and a fresh import of its records. No data, configuration, account or history survives from the previous subscription, and no reactivation fee applies because there is nothing to reactivate.
The School can export its own data at any time while its subscription runs, and should do so before it ends. On request, we provide a full export within ten (10) working days.
Liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, or loss of data other than as caused by its own breach. Our aggregate liability is limited to the fees paid in the twelve months preceding the claim.
Nothing in these terms limits or excludes liability for intent or gross negligence, for death or personal injury, or for any other liability that cannot be limited under applicable law.
Changes to the Service and to prices
We may change the Service. Where a change materially reduces functionality the School relies on, or removes a feature entirely, we will give the School at least thirty (30) days' written notice before it takes effect, sent by email to the administrative contact named in the order. It is the School's responsibility to keep that contact address current.
Subscription prices are fixed for the term stated in the order and do not change during it. Where a price will change at renewal, we will notify the School at least sixty (60) days before the renewal date, so that the School has a full term's notice before any increase applies. The School may decline the renewal.
We may amend these Terms. The current version is published on this page and carries its version number and date. Where an amendment materially affects the School's rights, we will give thirty (30) days' notice by the same means. Continued use of the Service after that period constitutes acceptance. A School that does not accept a material amendment may terminate its subscription with effect from the date the amendment takes effect, by written notice given before that date; we refund the portion of any prepaid fee covering the period after that date.
Governing law and jurisdiction
These terms are governed by the laws of the jurisdiction stated in the School's order, and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising from them.
Where the order does not state otherwise, these terms are governed by Greek law and the courts of Heraklion, Crete have exclusive jurisdiction. Before commencing proceedings, both parties will attempt in good faith to settle the dispute directly.
Questions about these terms can be sent to info@tetradio.com.
Right of withdrawal
The School may withdraw from an order within fourteen (14) calendar days of the date we accept it, without giving a reason.
Notice of withdrawal must be given in writing to info@tetradio.com and takes effect when we acknowledge receipt, which we will do promptly and in writing.
Where the School has asked us to begin providing the Service before the withdrawal period has expired, the School remains liable for a proportion of the price reflecting what has been provided up to the moment of withdrawal, including any setup work already carried out. Where setup has been completed under a paid order, the setup fee is payable in full.
A trial period offered before a subscription is not an order. Nothing is payable for a trial, and a School that does not continue after it owes nothing, including for the setup work carried out. The setup fee is invoiced only if the School enters into a subscription, together with its first billing period. A subscription entered into after a trial is an order to which this clause applies, counted from the date we accept it.
We will refund any balance due within fourteen (14) days of receiving the notice, by the same means the School used to pay. Where payment was made by card, we will instruct the acquiring bank on receipt; the timing of the reversal is then a matter between the School and its own bank.
On withdrawal, the workspace is closed and its data is handled as set out elsewhere in these Terms and in our Privacy Policy.
The statutory fourteen-day right for distance contracts protects consumers. A school contracting for a business tool is not usually a consumer, so this right is granted by agreement rather than by obligation.
Force majeure
Neither party is liable for failure to perform its obligations where that failure results from an event beyond its reasonable control, including natural disaster, fire, flood, earthquake, war, civil unrest, terrorism, industrial action, failure of a public telecommunications or electricity network, acts of government, or the failure of a third-party infrastructure provider on which the Service depends.
The affected party will notify the other as soon as it reasonably can and will use reasonable efforts to resume performance.
Where such an event prevents provision of the Service for a continuous period of more than thirty (30) days, either party may terminate the subscription on written notice. In that case we will refund the portion of any prepaid fee covering the period during which the Service was unavailable.
This clause does not excuse an obligation to pay amounts already due for Service already provided.
Severability, notices and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remainder continues in force. Where possible, the severed provision is to be read as modified to the minimum extent necessary to make it enforceable while preserving its intent.
Notices under these Terms must be in writing. Notice to the School is validly given by email to the administrative contact named in the order. Notice to us must be sent to info@tetradio.com. Email notice is treated as received on the next working day after it is sent.
These Terms, together with the order and the Privacy Policy, constitute the entire agreement between the parties in relation to the Service, and supersede any prior discussion, proposal or representation. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
A failure or delay in enforcing any provision of these Terms is not a waiver of it.
We may assign this agreement to a successor to our business on written notice to the School. The School may assign it only with our written consent, which we will not unreasonably withhold.
